INTELLECTUAL PROPERTY ASSIGNMENT AGREEMENT

This Intellectual Property Assignment Agreement (“Agreement”) is made as of [DATE], by and between:

Assignor: Robert A. Dickman individual (“Assignor”)
Assignee: WROXER Entertainment, Inc., a Delaware corporation (“Company”)

1. Assignment of Intellectual Property

Assignor hereby irrevocably assigns, transfers, and conveys to Company all right, title, and interest throughout the world in and to all intellectual property created, conceived, authored, developed, reduced to practice, or contributed by Assignor, whether alone or jointly, that relates to the “WROXER” game, universe, and associated content (collectively, the “IP”).

Such IP includes, without limitation:

All copyrights and copyrightable works
All trademarks, trade names, logos, and branding
All domain names (including wroxer.com and wroxstar.com)
All game designs, mechanics, systems, and frameworks
All literary works, narratives, scripts, and storylines
All artwork, characters, designs, and audiovisual materials
All software, code (source and object), and technical materials
All documentation, plans, and production materials
All derivative works, improvements, and updates

2. Work Made for Hire

To the fullest extent permitted by law, all IP shall be deemed “work made for hire” for Company.

To the extent any portion does not qualify as a work made for hire, Assignor hereby irrevocably assigns all rights in such IP to Company.

3. Moral Rights Waiver

Assignor hereby irrevocably waives any and all moral rights, droit moral, or similar rights in the IP, to the fullest extent permitted by applicable law.

4. Consideration

This Agreement is entered into in consideration of:

☐ Continued role and participation in Company
☐ Other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged

5. Representations and Warranties

Assignor represents and warrants that:

Assignor is the sole creator and owner of the IP
The IP is original and does not infringe any third-party rights
No prior assignments, licenses, or encumbrances exist
Assignor has full legal authority to enter into this Agreement
No third party has any claim to the IP

6. Further Assurances

Assignor agrees to execute such further documents and take such additional actions as may be reasonably requested by Company to perfect, confirm, enforce, or protect Company’s rights in the IP.

7. Power of Attorney

Assignor hereby irrevocably appoints Company as Assignor’s attorney-in-fact to execute and file any documents necessary to secure or enforce Company’s rights in the IP, solely if Assignor fails to do so after reasonable request.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of laws principles.

9. Entire Agreement

This Agreement, including Schedule A, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior or contemporaneous agreements.

10. Counterparts

This Agreement may be executed in counterparts, including electronic signatures, each of which shall be deemed an original.

11. Schedule A

The intellectual property assigned under this Agreement is further described in Schedule A attached hereto, which is incorporated by reference.
