This Letter of Intent (“LOI”) confirms the mutual understanding between:

 

WROXER Entertainment, Inc.
and
Evander Holyfield

 

regarding potential collaboration on the WROXER entertainment, gaming, and media project.

 

1. Project Overview

 

WROXER is a multimedia entertainment property currently in development, including:

​

• video game production

• animated content

• digital collectibles

• licensing and merchandising

• educational and youth development programs

 

The project incorporates themes of emotional intelligence, personal growth, and overcoming adversity through storytelling, gameplay, and character development.

 

2. Intended Role

Evander Holyfield is expected to participate as:

​

• a featured mentor character within the WROXER universe

• a licensed name and likeness within the WROXER game and media content

• a potential contributor to promotional, educational, and fitness-related content

 

The character portrayal will reflect Mr. Holyfield’s public image as a champion known for discipline, perseverance, and emotional strength.

3. Licensing & Participation

The parties intend to negotiate a future agreement covering:

​

• use of name, likeness, and voice

• character design and story integration

• digital products and collectibles

• merchandise and licensing

• revenue participation

 

Such agreement will be subject to mutually agreed terms.

4. Purpose of This Letter

This LOI is intended solely to confirm good-faith interest in working together in connection with the WROXER project and may be used by WROXER in discussions with:

​

• game publishers

• production companies

• distributors

• investors

• licensing partners

 

to demonstrate the anticipated involvement of Evander Holyfield.

​

5. Non-Binding

​This Letter of Intent is non-binding and does not create a final agreement between the parties.

Any binding agreement will require a separate written contract.
